Steen Associates acted as exclusive adviser to HIPER Global (through its German subsidiary Hiper Euro GmbH) on its acquisition of Bressner Technology GmbH (“Bressner”) from One Stop Systems, Inc. (“OSS”) (Nasdaq: OSS).

Bressner is a Germany-based system integrator of industrial hardware solutions, with an established portfolio spanning areas such as embedded computing, industrial IoT, AI solutions, HPC solutions and rugged computing. Over more than 30 years, Bressner has built a strong customer base and long-standing relationships across Europe and the Middle East.

HIPER Global (TASE: HIPR) is a publicly traded, world-class OEM solution architect with 350+ employees and a global footprint across the US, Israel and the UK, with a clear strategic focus on building a scaled EU-based operation. The company designs and delivers tailored compute-based solutions for leading technology and defence customers worldwide, combining embedded, rack-scale, rugged and AI compute platforms with end-to-end design, engineering, manufacturing and global delivery capabilities. Its computing products are deployed across mission-critical applications including defence & aerospace, industrial, cybersecurity, digital signage, AI/ML, semiconductor and medical devices.

OSS is a US-based provider of rugged, enterprise-class compute and storage solutions for demanding edge applications, including artificial intelligence (AI), machine learning (ML) and sensor processing.

Key financial aspects of the transaction

• OSS sold all assets and operations of Bressner to Hiper Euro GmbH for US$22.4 million, subject to adjustment for final closing working capital balances.
• The transaction signed and closed on 30 December 2025.
